Welcome to Prozinix Technologies. These Terms of Service ("Terms") govern your access to and use of our custom software development services, software deliverables, websites, and our flagship product, the Prozinix Restaurant Management System (RMS). By engaging our services or activating a subscription, you agree to comply with these Terms.

1. Software Development & Intellectual Property

We engineer tailor-made software solutions under contract:

  • Custom Deliverables: Intellectual property ownership of bespoke source code custom-built for clients is transferred upon complete receipt of project milestone payments as defined in the Statement of Work (SOW).
  • Prozinix Proprietary Frameworks: Prozinix retains exclusive ownership over all pre-existing utility libraries, development tools, templates, and core software structures used during engineering.
  • SaaS Solutions: Prozinix RMS is licensed on a subscription basis. Customers acquire a limited, non-exclusive, non-transferable license to access the cloud dashboards; no ownership rights are transferred.

2. Acceptable Use of Prozinix RMS

To preserve server safety and dashboard reliability, clients agree to:

  • Deploy QR ordering codes solely inside designated restaurant layout tables mapped within their active business profile.
  • Refrain from reverse engineering, decompiling, or scraping data from the POS interface, customer menus, or analytical dashboard metrics.
  • Ensure all billing operations, tax (GST) calculations, and thermal receipts match local regulatory compliance standards.

3. Subscription Billing & Payments

SaaS licensing payments for Prozinix RMS are subject to the following rules:

  • Pricing Plans: Active subscriptions are billed in advance on a recurring monthly cycle as per selected plans (Order Management at ₹1,499/mo, Combo at ₹1,999/mo, or Full Suite at ₹2,499/mo).
  • Non-Refundability: Paid fees are non-refundable. Failure to process monthly subscription payments within 5 business days of the invoice date may result in temporary suspension of POS billing terminals and QR menu access.
  • Custom Development: Separate custom engineering integrations are scoped and billed independently under agreed project parameters.

4. Service Level Agreement (SLA) & Uptime

We target a 99.9% uptime availability for all cloud POS synchronization engines and QR-ordering backend servers. Under SOW agreements, scheduled maintenance windows are coordinated outside peak dining hours (typically between 2:00 AM and 5:00 AM IST) with 24-hour advance warnings.

5. Limitation of Liability

Prozinix is not liable for direct, indirect, or incidental damages resulting from kitchen delays, local network/ISP downtime, thermal printing device malfunctions, or incorrect GST configurations managed by the restaurant staff. Our maximum cumulative liability is limited to the subscription fee paid by the client in the 3 months preceding the claim.

6. Governing Law

These Terms shall be governed and interpreted under the laws of Pune, Maharashtra, India. Any legal disputes arising out of these terms shall be subject to the exclusive jurisdiction of the Pune municipal courts.
